Terms of Service

Kasplo Service Agreement

Version: 1.1
Publication date: 3 November 2026

This Service Agreement governs business use of Kasplo’s services. It is between Kasplo Internet Private Limited, a company incorporated in India (“Kasplo”, “we”, “us”), and the legal entity accepting this Agreement (“Customer”, “you”). It provides a common contractual framework for customers in India and other countries. Your selected services, prices and any minimum commitment are recorded in your Order Form or accepted online purchase terms.

1 Acceptance and authority

1 Acceptance and authority

You enter into this Agreement by expressly accepting it through Kasplo’s registration or purchase process, or by executing an Order Form that incorporates it. The person accepting confirms that they are authorised to bind the identified Customer. The services are offered for business and professional use, not personal consumer use. Account administrators must be at least eighteen years old.

A negotiated agreement already executed by Kasplo and the Customer continues to govern the services it covers unless the parties expressly agree to replace it. An individual user’s later account registration does not override that agreement.

2 Contract documents and Order Forms

2 Contract documents and Order Forms

An Order Form is a document signed by both parties or an online order expressly accepted by the Customer through a Kasplo purchasing process that identifies the services and commercial terms. It may specify service modules, usage allowances, sending profiles, prices, currency, payment arrangements, subscription dates, minimum commitments and renewal terms. A quotation becomes an Order Form only when accepted through the process specified in it.

This Agreement incorporates the following documents made available to you before acceptance, to the extent relevant to your services:

  • Acceptable Use Policy, which governs permitted use and sending practices;

  • Data Processing Addendum (“DPA”), including its security measures, applicable regional provisions and referenced subprocessor arrangements;

  • SLA and Support Policy, for the service levels expressly included in your plan or Order Form; and

  • any service-specific or regional schedule expressly incorporated into your Order Form or these documents.

The Privacy Notice explains Kasplo’s own handling of personal information. It does not replace the DPA for personal data processed on your behalf.

Mandatory statutory rights and mandatory international-transfer clauses prevail where they apply. A mutually executed amendment prevails only over the provisions it expressly changes. The DPA controls personal-data processing matters; the Order Form controls commercial particulars; and the SLA controls its stated availability, support and service-credit matters. Otherwise this Agreement controls. The Acceptable Use Policy determines permitted use but does not independently enlarge liability or change agreed commercial commitments.

Terms in a Customer purchase order, onboarding form or vendor portal do not amend this Agreement unless an authorised Kasplo signatory expressly accepts the identified amendments in writing. Administrative acknowledgement of such documents is not acceptance of their additional terms.

3 Services and access rights

3 Services and access rights

During the applicable subscription, Kasplo grants you a limited, non-exclusive right to access and use the services you have purchased for your business, within the agreed usage limits and documentation.

Services may include Marketing Cloud, Email API and SMTP, Email Verification, Email Intelligence and, where separately enabled and ordered, SMS, WhatsApp or related integrations. A product mentioned on the website is not automatically included in your subscription. Account and sending-profile permissions do not create separate contracting entities or entitle affiliates to independent services unless agreed.

Kasplo will provide the subscribed services with reasonable skill and care and comply with laws applicable to Kasplo’s provision of those services. Custom development, dedicated infrastructure, managed campaigns, migration and special compliance work are included only if expressly agreed. We are not obliged to deliver roadmap items or functionality not included in the accepted order.

You may not resell the services, provide unauthorised third-party access, copy or reverse engineer proprietary components, or bypass technical limits, except where permitted by mandatory law or an expressly agreed reseller or agency arrangement.

4 Accounts and integrations

4 Accounts and integrations

You must provide accurate company, contact and billing information and keep it current. You are responsible for your authorised users, permission settings, domains, API keys, SMTP credentials and systems that connect to Kasplo. You must protect credentials, remove unnecessary access and promptly report suspected compromise.

You are responsible for use by your authorised users and for unauthorised use attributable to your failure to protect access. This does not make you responsible for a compromise to the extent caused by Kasplo’s breach of this Agreement or applicable law.

You must have authority to use sending domains, sender identities, recipient lists and connected accounts. You remain responsible for your application’s integration logic, lawful instructions, error handling and retry behaviour. Kasplo is responsible for the components it controls.

5 Sending and customer compliance

5 Sending and customer compliance

You control your communications, recipient selection and sending instructions. You must ensure that your use complies with applicable law, the Acceptable Use Policy and applicable mailbox-provider, carrier and channel requirements.

You must obtain and retain the lawful permissions, notices and consents required for the intended processing and communications, identify the sender accurately, honour applicable opt-outs and suppressions, and retain reasonable evidence of compliance. You must not use purchased, rented or harvested recipient lists, misrepresent the purpose of messages, or bypass suppression and abuse-prevention controls.

For SMS, WhatsApp or other regulated channels, you must obtain any required sender registrations, approved templates, channel permissions and recipient consents, including Indian DLT requirements where applicable. Channel-specific obligations apply only to the relevant services and traffic. You must not describe promotional content as transactional to avoid applicable requirements.

You must provide relevant permission or registration records within a reasonable period specified in a compliance request, taking account of urgency. Kasplo may perform proportionate reviews and process relevant data to investigate abuse, maintain security and fulfil legal obligations, subject to the DPA and applicable law. Such reviews do not transfer your compliance responsibilities to Kasplo or amount to approval of your content.

Each party remains responsible for its own legal obligations. Nothing in this Agreement contracts away obligations that the law imposes directly on Kasplo.

6 Customer Data and privacy

6 Customer Data and privacy

Customer Data means data, content, recipient information, configurations and materials submitted to or generated for you through your use of the services. You retain your rights in Customer Data. You authorise Kasplo to process it only as necessary to provide, secure and support the services, follow your documented lawful instructions, and meet applicable legal requirements, as further described in the DPA.

For personal data processed on your behalf, you act as controller or data fiduciary, or as a processor authorised by the relevant controller. Kasplo acts as processor or subprocessor as appropriate. Separate processing for Kasplo’s account administration, billing, security or legal compliance is described in the Privacy Notice and applicable DPA provisions. The parties’ actual activities and applicable law determine any independent statutory roles.

The DPA governs security safeguards, confidentiality of personnel, subprocessors, incident assistance, retention and applicable transfer safeguards. Use of the services is not permission for Kasplo to sell your recipient lists or use identifiable recipient data to market unrelated products.

Hosting locations and subprocessors are described in the DPA and Subprocessor List, subject to any express Order Form commitments. Delivering communications necessarily involves transmission to intended recipients’ mail servers, carriers or channel providers, which may be in other countries. Such transfers remain subject to the DPA and applicable law.

7 Confidential information

7 Confidential information

Each party must protect the other’s non-public business, technical and commercial information using reasonable care, use it only for the Agreement’s permitted purposes, and disclose it only to personnel, advisers and service providers who need it and are bound by appropriate confidentiality obligations. Customer Data is the Customer’s confidential information.

These obligations do not cover information lawfully known without restriction, independently developed, received lawfully without a confidentiality duty, or made public without breach. A legally required disclosure is permitted. The disclosing party must give notice where legally permitted and reasonably practicable and limit the disclosure as required by law.

Confidentiality obligations continue for three years after termination, and for trade secrets while they remain trade secrets. Protection of retained personal data continues as required by the DPA and law.

8 Security and operational cooperation

8 Security and operational cooperation

Kasplo will maintain appropriate technical and organisational safeguards described in the DPA. Additional Customer-specific security requirements, audits, certifications or remediation commitments require mutual written agreement, including scope, implementation timelines and any additional charges. This does not limit mandatory legal obligations or a competent regulator’s lawful access rights.

Incident notification and assistance follow the DPA and applicable law. Initial notices may contain information available at that time, with further information supplied as the investigation progresses. Neither party must delay a mandatory report pending a complete investigation or the other party’s approval.

9 Fees and billing

9 Fees and billing

You must pay the fees in your Order Form or accepted online purchase terms. Fees, usage units, included allowances, overage rates, credit validity and billing frequency must be disclosed before acceptance. A minimum commitment exists only where expressly accepted; opening an account alone does not create a twelve-month or twenty-four-month purchase commitment.

Unless your order states otherwise, subscription fees are payable in advance and separately invoiced usage charges are due within seven calendar days of invoice. A prepaid balance must be sufficient for the requested services. New billable modules, charges or commitments require your acceptance.

Billing starts on the billing-start date recorded in the Order Form, provided Kasplo has made the agreed service available and notified you of its readiness. Where activation or use is delayed because you have not completed integration, DNS configuration, required registrations, approvals or other Customer dependencies, that delay does not postpone the agreed billing start or minimum fees. Billing will not start before Kasplo is ready to provide the agreed service, and delays attributable to Kasplo will not be treated as Customer delays. Any different milestone-based billing arrangement must be stated in the Order Form.

For Email API and SMTP, unless your order expressly specifies another basis, one billable submission is one message to one recipient accepted by Kasplo for processing. Multiple recipients count separately. Delivery retries for the same accepted submission do not create additional submission charges. Separate accepted submissions are separately chargeable. Rejection before acceptance is not a billable submission. Acceptance does not guarantee delivery; a later bounce, filtering, cancellation or delivery failure does not by itself reverse an accepted submission charge.

Other service usage, including contacts, verification checks, messaging units and channel-provider charges, is measured as disclosed in the relevant order. Reasonable usage records support billing and may be challenged through the dispute process below. Unused included allocations do not roll over unless expressly agreed; purchased prepaid balances follow their disclosed validity terms.

Fees exclude applicable taxes unless stated otherwise. Statutory withholding is permitted where legally required, provided you furnish valid withholding and remittance evidence. You remain responsible for applicable amounts not lawfully withheld. Your order identifies the billing currency and any expressly agreed tax or payment arrangements.

Notify Kasplo of a good-faith invoice dispute within fifteen calendar days of receipt, identifying the amount and reasons, without limiting mandatory rights or correction of demonstrable errors. You must pay undisputed amounts on time. We will investigate and respond within ten business days and work reasonably to resolve the dispute. A genuinely disputed amount alone will not trigger non-payment suspension. Set-off is limited to amounts agreed in writing or finally determined as due, except where law requires otherwise.

10 Subscription terms and renewal

10 Subscription terms and renewal

A monthly subscription renews for successive monthly periods only where that recurring arrangement was clearly disclosed and accepted. You may cancel before the next period through the available account process or the notified support channel; cancellation takes effect at the end of the paid period.

A committed subscription lasts for the period in the Order Form. Its minimum fees are payable for the agreed service availability irrespective of lower actual usage. Monthly or quarterly instalments do not turn an expressly accepted annual commitment into a cancellable monthly plan. Neither party may terminate a committed subscription for convenience during its term unless the Order Form permits it, mandatory law provides otherwise, or this Agreement gives a termination right.

Automatic renewal of a committed term applies only where the Order Form expressly states the renewal period and non-renewal process. Otherwise the committed term expires and any continuation requires an accepted renewal or other agreed arrangement. Closing an account or stopping use is not, by itself, termination of an existing commitment.

Kasplo’s own platform rates fixed for a committed term remain fixed during that term except for applicable taxes. Changes to those rates for a renewal require at least forty-five days’ notice, or any longer agreed notice, and must leave a reasonable opportunity to decline renewal. If timely notice is not given, an increase takes effect only at a later renewal or with your agreement.

External carrier or channel charges may change during a committed term only where their variable treatment was disclosed and accepted in the Order Form. If an SMS operator, Meta/WhatsApp or another external channel provider changes its charges, Kasplo may pass through the corresponding change to the affected external charges, without changing Kasplo’s separately agreed platform rates. We will normally give at least seven calendar days’ written notice for SMS changes and ten calendar days for WhatsApp changes, and any longer notice required by law or the Order Form. Where the provider imposes a shorter or immediate effective date, we will notify you as soon as reasonably practicable, identify the affected charges and effective date, and apply the change prospectively only. You may stop future use of the affected channel; this does not automatically cancel unrelated platform commitments. Any mandatory termination or other statutory rights remain unaffected.

11 Service performance and changes

11 Service performance and changes

Only the availability commitments, support hours, response targets and credits included in the applicable SLA or Order Form apply. A response or resolution target is not an unconditional guarantee unless expressly stated. For an availability shortfall alone, applicable SLA credits are the exclusive monetary remedy; this does not prevent claims for a separate breach or termination rights expressly provided in the Agreement or mandatory law. The same loss cannot be recovered twice.

Kasplo does not guarantee inbox placement, acceptance by a recipient system, uninterrupted transmission, message delivery by a particular time, or any commercial outcome. Delivery and reporting may be affected by recipient behaviour, filtering, authentication, reputation and third-party systems. Verification and intelligence results are assessments at the time of processing, not guarantees that an address is deliverable or that future sending is permitted. You must assess suitability for your intended use, including any time-critical communications.

Kasplo may maintain and improve the services. We will give reasonable advance notice of planned changes materially affecting subscribed functionality or integrations and, where practicable, at least thirty days for a material API deprecation. Urgent security, legal, mailbox-provider or infrastructure changes may be made sooner with prompt notice where practicable.

If a planned change materially reduces a subscribed service during a committed term and Kasplo cannot provide a reasonably equivalent alternative within thirty days of your written objection, you may terminate the affected service and receive a proportionate refund of prepaid fees for its remaining unused period. Ordinary improvements and necessary protective measures do not by themselves create this right.

Apart from express obligations in the Agreement and non-excludable rights, Kasplo disclaims implied warranties to the extent permitted by law. This does not remove the express skill, care or security obligations stated above.

12 Protective restrictions and suspension

12 Protective restrictions and suspension

Notwithstanding any contractual notice or cure period, Kasplo may, acting reasonably and in good faith, immediately restrict, throttle or suspend affected services where necessary to address non-compliant use, suspected abuse, compromised credentials, security threats or material risks to infrastructure, other customers or sender reputation, or to comply with applicable law, binding directions or mailbox-provider requirements.

We will provide advance notice where reasonably practicable or prompt notice afterwards, stating the available reasons and remedial steps to the extent legally permitted and consistent with security. Restrictions must be proportionate and limited to affected activity where practicable. We will restore affected services without undue delay once the grounds have been reasonably resolved. Changes required by law, competent authorities or mailbox providers do not require your prior consent.

An affected external channel may also be restricted or suspended if its carrier, Meta/WhatsApp or another essential channel provider withdraws or suspends access, or ceases the relevant service, for reasons beyond Kasplo’s reasonable control and not caused by Kasplo’s breach. We will notify you promptly, maintain unaffected services where reasonably practicable, and use reasonable efforts to identify an available alternative. Any termination and treatment of prepaid fees follow Section 13. This provision does not excuse Kasplo’s own breach or its non-excludable responsibilities.

For overdue undisputed amounts, Kasplo may suspend after at least five business days’ written warning following the due date. Insufficient prepaid credit may prevent additional chargeable usage without that additional warning where this was disclosed in the purchase process. Such restrictions do not waive accrued payment obligations or entitle Kasplo to fees it could not otherwise lawfully recover.

13 Termination and financial consequences

13 Termination and financial consequences

Either party may terminate an affected order for a material breach not remedied within thirty days after written notice. A breach incapable of remedy may justify immediate termination where its seriousness warrants it. Kasplo may terminate affected services immediately where continuing them is unlawful or subject to a binding prohibition. Lawful protective suspension under Section 12 need not await termination.

Subject to applicable insolvency law, either party may terminate on written notice if the other permanently ceases its business, enters liquidation other than a solvent reorganisation, has a receiver or equivalent appointed over substantially all its business assets, or becomes subject to admitted insolvency proceedings. A petition alone that has not been admitted is not an automatic termination ground. No right under this Agreement authorises a termination, suspension or interruption prohibited by an applicable moratorium, court order or mandatory protection for essential or critical supplies.

If an essential external provider permanently withdraws an affected channel, or its suspension prevents continued provision and a reasonably equivalent alternative is unavailable, either party may terminate that affected channel by written notice. Kasplo will give advance notice where reasonably practicable; immediate termination is permitted where continued provision is impossible. Unaffected services and their commitments continue. Kasplo will refund prepaid platform fees attributable to the unused period of the terminated channel and any prepaid external-charge balance not incurred or irrevocably committed for you under the accepted order. External usage or pass-through charges properly incurred or irrevocably committed for you under that order and non-refundable by the provider are not refundable merely because of the provider’s withdrawal. This does not reduce refunds or remedies required by law or arising from Kasplo’s own breach. No further minimum fees accrue for the terminated channel after termination, apart from those legally recoverable external commitments.

Kasplo may close a free or monthly account for convenience on thirty days’ notice. If it ends a paid monthly service before the paid period expires without Customer breach, it will refund fees for the unused period. This convenience right does not allow Kasplo to end a committed paid term contrary to Section 10.

Termination of one order does not automatically terminate unrelated orders. This Agreement continues for remaining orders and obligations intended to survive.

If you terminate for Kasplo’s uncured material breach, Kasplo will refund prepaid subscription fees attributable to the unused period of the affected service, and no further minimum fees accrue for that period. Otherwise, refunds follow the express order terms and mandatory law; lower usage alone does not create a refund right.

Accrued fees remain payable. Any recovery of remaining committed fees or early-termination compensation is subject to the express order terms and applicable law, including requirements concerning reasonable compensation and mitigation where relevant. Kasplo will not recover the same loss twice. Switching charges and mandatory switching rights are separately governed by Section 19.

14 Data export and retention

14 Data export and retention

You should export required records during your subscription. In-service retention periods and available export methods are those disclosed for the subscribed module in the order, DPA or accepted retention schedule. Ending a subscription does not restore data already deleted under an agreed lawful retention schedule.

Unless a longer period is required by law or expressly agreed, Kasplo will provide thirty calendar days after termination to request export of Customer Data then retained, through existing export facilities or reasonable assisted access. Data under investigation may require a secure export method. Export rights must not be obstructed contrary to applicable law. Additional custom migration work is chargeable only if agreed and legally permitted.

After the applicable export or retrieval period, Customer Data will be deleted or returned in accordance with the DPA, subject to lawful retention. Backup copies follow the documented deletion lifecycle, remain protected and are not reused for ordinary business purposes. Required security records, billing records, legal holds and necessary suppression records may be retained only for justified lawful purposes and periods. Customer-visible log expiry does not override mandatory security-log retention. Section 19 prevails where its longer or additional rights apply.

15 Intellectual property

15 Intellectual property

Kasplo retains ownership of its platform, software, APIs, documentation, underlying technology and improvements. You retain ownership of your content and other Customer Data. Your limited processing authorisation does not transfer ownership to Kasplo. Account closure or transition assistance does not require delivery of Kasplo’s source code or proprietary tools.

Kasplo may use voluntarily supplied product feedback without identifying you or disclosing your confidential information. Neither party may publish the other’s logo, endorsement, case study or identifiable performance results without prior permission, except as required by law.

16 Third-party claims and indemnities

16 Third-party claims and indemnities

Kasplo will defend you against a third-party claim that the services, as supplied by Kasplo and used as authorised, infringe that third party’s intellectual property rights, and pay damages finally awarded and settlements approved by Kasplo. This obligation excludes claims attributable to your content, unauthorised modifications, use outside the Agreement, or combinations not supplied or required by Kasplo where the claim would not otherwise arise.

If such a claim threatens continued use, Kasplo may obtain the necessary rights, modify or replace the affected functionality with a reasonably equivalent alternative, or terminate the affected service and refund prepaid fees for its unused period. These are the contractual remedies for that infringement claim, subject to mandatory law.

You will defend Kasplo against third-party claims arising from your unlawful recipient data, missing required consents or authorisations, infringing or unlawful content, or misuse of the services by you or your authorised users. You will pay damages finally awarded, approved settlements and reasonable defence costs. Any indemnity for a regulatory penalty applies only to the extent legally permitted. Your indemnity excludes losses to the extent caused by Kasplo’s own breach, negligence or misconduct.

The protected party must give prompt notice, reasonable cooperation at the defending party’s expense and control of the defence to the defending party. Delay reduces protection only to the extent it causes material prejudice. No settlement may admit fault, impose a non-monetary obligation or leave an unreleased liability on the protected party without its consent, not to be unreasonably withheld. Both parties’ indemnities are subject to Section 17.

17 Limits of liability

17 Limits of liability

To the extent permitted by law, neither party is liable to the other for indirect, special or consequential loss, or loss of profits, revenue, goodwill or anticipated savings, arising from the Agreement, regardless of the legal basis of the claim. This exclusion does not prevent payment of third-party damages and defence costs expressly covered by Section 16, subject to the aggregate cap below.

Each party’s total aggregate liability arising from or relating to this Agreement, across all orders, services and claims, shall not exceed the lower of:

(a) the Eligible Platform Fees actually paid by the Customer and attributable to the six months immediately preceding the first event giving rise to liability; and

(b) INR 500,000 (five lakh Indian rupees), or its equivalent in the billing currency.

Eligible Platform Fees means Kasplo’s own platform or service fees for Marketing Cloud, Email API/SMTP and other subscribed Kasplo platform modules, as identified in the accepted Order Form and relevant invoices. It excludes GST and other taxes, SMS message-consumption charges, Meta/WhatsApp conversation or message charges, telecom-operator charges, and other external-channel usage or third-party pass-through charges disclosed and agreed in the order. Payment of those excluded charges to Kasplo does not bring them into the liability-cap calculation.

Where Email API/SMTP is priced only through Kasplo’s per-email or usage-based service fee without a separate platform fee, that Kasplo service fee counts as an Eligible Platform Fee, after excluding any separately identified and agreed third-party pass-through component. Kasplo’s ordinary internal infrastructure costs are not an additional undisclosed deduction from the fee base. Annual or multi-year platform fees paid in advance are allocated proportionately to their covered service periods when calculating fees attributable to the six-month period. Refunded fees and unused prepaid usage balances are not Eligible Platform Fees.

This is a single aggregate cap across Marketing Cloud, Email API/SMTP and the other services together, not a separate cap per product, channel, incident, order, user or sending profile. It includes indemnification obligations, ordinary negligence, confidentiality and security breaches and personal-data claims between the parties, except where mandatory law or mandatory transfer clauses provide otherwise. Excluding third-party charges from the calculation does not exclude Kasplo’s own contractual or statutory responsibilities for its acts or omissions in providing those channels; liability remains subject to this section and applicable law.

Neither the cap nor the exclusion limits fraud, wilful misconduct, or liability that cannot lawfully be limited, including applicable non-excludable rights of individuals under data protection law. Your obligation to pay fees properly due is not reduced by the cap. No term purports to bind regulators or independent third parties or waive statutory rights they retain.

18 Third-party services and exceptional events

18 Third-party services and exceptional events

You may choose to connect third-party applications or marketplaces, including Shopify or channel providers. Their separate terms may apply to your relationship with them. You are responsible for the permissions you grant and your lawful use of those integrations. Kasplo remains responsible for its own performance and the processing obligations it delegates to its subprocessors; this section is not a blanket exclusion for all supplier failures.

Neither party is responsible for delay caused by events genuinely beyond its reasonable control that could not reasonably be prevented or overcome. The affected party must notify the other and reasonably mitigate the effects. Routine capacity shortfalls or avoidable operational failures are not excused merely because a third party is involved. If such an event prevents material provision of an affected service for thirty consecutive days, either party may terminate that service and Kasplo will refund prepaid subscription fees for the unused period.

19 International customers and switching rights

19 International customers and switching rights

Each party must comply with laws applicable to its activities, including relevant data protection, electronic marketing, sanctions and trade restrictions. Customer location alone does not determine every applicable law. The DPA’s applicable regional schedules and completed transfer safeguards govern international personal-data transfers; a general statement of GDPR compliance or an Indian governing-law clause does not replace them.

Where Chapter VI of Regulation (EU) 2023/2854 (the EU Data Act) applies to a subscribed service, the following additional terms prevail over conflicting termination, commitment or retention wording:

  • You may request switching to another provider, transfer of exportable data and digital assets to your own infrastructure, or erasure on termination. Any notice period for initiating that process will not exceed two months.

  • Kasplo will provide reasonable switching assistance, relevant exit information and continuity-risk information, and maintain the agreed service and appropriate security during the transition. Switching will be completed without undue delay and within thirty calendar days after the notice period, subject to lawful extensions. If that period is technically unfeasible, Kasplo will explain the reasons within fourteen working days of the request and identify an alternative transition not exceeding seven months. You may extend the transition once for a period more appropriate to your purposes, as provided by applicable law. Service continuity will be maintained during the applicable transition.

  • Exportable categories comprise your supplied and retained recipient or profile data and attributes; your lists and segment definitions; your templates, campaigns, workflow configurations and Customer-owned or lawfully transferable digital assets; your suppression and preference records; and events, usage, analytics and related metadata generated for you and retained by the service. The categories apply to the modules actually subscribed to and exclude data already lawfully deleted before the request. Exclusions comprise Kasplo’s source code, algorithms, internal security and infrastructure configurations, provider-internal operational data protected as Kasplo’s intellectual property or trade secrets, and other customers’ information; they must not be used to obstruct lawful export. Service-specific formats and available interfaces will be disclosed before contracting and remain accessible with the service documentation.

  • Export will use commonly used machine-readable formats and applicable interfaces. You will have at least thirty calendar days after the transition to retrieve retained exportable data. After successful switching and expiry of that period or a later agreed period, the data will be erased subject to mandatory retention requirements.

  • The affected service contract ends on successful switching, or at the end of the applicable notice period if you elect erasure instead. Kasplo will confirm termination. Kasplo will not impose a switching or data-egress charge. Ordinary service fees and any separately disclosed, legally permissible early-termination compensation remain governed by the order and applicable law; they must not function as prohibited switching charges or unlawful obstacles.

These provisions do not require disclosure of Kasplo’s protected intellectual property or migration of functionality that applicable law does not require. Other mandatory regional rights remain unaffected.

20 Changes to the agreement

20 Changes to the agreement

Kasplo will retain dated versions of this Agreement and give at least thirty days’ notice of material contractual changes, unless a shorter period is required by law or necessary to address an urgent security or abuse risk. Urgent changes will be limited to what is reasonably necessary and communicated promptly.

For an existing committed subscription, changes that materially increase Customer obligations or reduce agreed rights apply at renewal or through express agreement, unless mandatory law requires earlier application. Necessary protective updates to the Acceptable Use Policy may apply during the term but cannot be used to introduce a new fee or remove the liability framework. For monthly subscriptions, material changes apply from a notified renewal, allowing reasonable opportunity to cancel before they take effect. Additional acceptance will be obtained where legally required.

Website publication alone does not override a signed amendment or automatically replace an existing negotiated contract. An accepted Order Form identifies the applicable contractual version; later versions apply only through this section or an agreed amendment.

21 Governing law and disputes

21 Governing law and disputes

This Agreement is governed by Indian law. The parties will first attempt in good faith to resolve a dispute through their designated contacts for thirty days after written notice, without preventing urgent protective relief or compliance with a legal deadline.

Subject to mandatory law and any compulsory jurisdiction under applicable transfer clauses, courts of competent jurisdiction in Bengaluru, Karnataka, India have exclusive jurisdiction over disputes between the parties under this Agreement. This does not restrict a person’s right to approach a regulator or exercise other non-waivable statutory rights.

22 Notices and general provisions

22 Notices and general provisions

Formal notices must be sent to the legal-notice email designated below, or to another address a party designates in writing. Customer notices will be sent to the designated legal or account-administrator email in the order or account. Email notice is effective on the next business day after transmission if no delivery-failure notification is received. Operational and urgent security notices may also use account notifications or designated security contacts.

Neither party may assign this Agreement without the other’s consent, not to be unreasonably withheld, except to a successor in a merger, reorganisation or sale of substantially all relevant assets that assumes the obligations and does not materially reduce the other’s contractual protection. The parties are independent contractors. Neither may bind the other.

An invalid provision will be limited or severed to the extent necessary, leaving the remainder effective. Failure to enforce a right is not a waiver. The Agreement and its incorporated documents are the entire agreement for the covered services and supersede earlier discussions on that subject, subject to the existing-contract protection in Section 1. Amendments outside Section 20 require mutual written agreement by authorised representatives. Electronic acceptance and counterparts may be used where legally permitted, subject to applicable execution and stamp-duty requirements.

Accrued payment obligations, confidentiality, ownership, lawful data handling, indemnities, liability limits and dispute provisions survive to the extent required by their purpose.
